Introduction

These Terms of Service ("Terms") govern your access to and use of nonstopautomation.com and the related services provided by Nonstop Automation LLC ("Nonstop Automation," "we," "us," or "our"). By using the Services, you agree to these Terms and our Privacy Policy.

Eligibility

You must be at least 18 years old and able to form a binding contract to use the Services.

Accounts

Some features require an account. You are responsible for all activity under your account and for safeguarding your credentials. Report unauthorized access to customer support @ nonstopautomation. com

Services and Plans

We provide marketing automation, CRM connections, and related support. Offerings may include (a) subscription plans (recurring monthly or annual) and (b) one-time setup or project services. We may also offer free add-ons that complement paid services. Service scope and pricing appear on our site or in your order form or statement of work.

Fees, Billing, Renewal, and Refunds

Client Data and License

"Client Data" means data you provide or connect (including CRM data). You retain ownership of Client Data. You grant us a limited license to host, process, transmit, and display Client Data solely to provide, maintain, secure, and improve the Services and to comply with law, consistent with our Privacy Policy.

Third-Party Connections

At your direction, the Services may connect to third-party platforms you already use (e.g., CRMs, ad networks, email systems). Your use of those platforms is governed by their terms and policies. We are not responsible for third-party services. Data flows via connections only as you authorize.

Acceptable Use

You will not: (a) use the Services unlawfully; (b) interfere with or disrupt the Services; (c) attempt unauthorized access; (d) reverse engineer or circumvent safeguards; or (e) misuse APIs, rate limits, or data access.

Intellectual Property

The Services, software, and content are owned by Nonstop Automation or its licensors and are protected by law. We grant you a limited, revocable, non-transferable right to use the Services for your internal business purposes. Except as permitted by law, you may not copy, modify, or create derivative works of the Services.

Confidentiality

Each party may receive the other's non-public information. The receiving party will protect it with reasonable safeguards and use it only to perform under these Terms or as required by law.

Privacy and Security

Our data practices are described in the Privacy Policy. We implement reasonable administrative, technical, and physical safeguards to protect the Services and Client Data. No method of transmission or storage is completely secure.

Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT UNINTERRUPTED OR ERROR-FREE OPERATION.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NONSTOP AUTOMATION AND ITS AFFILIATES/SUPPLIERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR BUSINESS, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES WILL NOT EXCEED THE FEES YOU PAID TO US IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

Indemnification

You will defend and indemnify Nonstop Automation against claims and costs arising from your use of the Services, your Client Data, or your breach of these Terms.

Suspension and Termination

The following sections survive termination: Client Data and License; Third-Party Connections; Intellectual Property; Confidentiality; Privacy and Security; Disclaimers; Limitation of Liability; Indemnification; Suspension and Termination (survival only); Changes; Governing Law and Venue; and Notices and Contact.

Changes

We may modify the Services or these Terms. For material changes, we will notify you by posting on the site or by email. Continued use after the effective date constitutes acceptance.

Governing Law and Venue

These Terms are governed by New York law, excluding conflict-of-law rules. The exclusive venue lies in courts located in Dutchess County, New York.
